Terms and Conditions

1. Purpose
These terms govern the provision of Xentri's AI and automation services to professional clients and businesses (B2B). By engaging our services, the client accepts these terms.
2. Services and quote
The specific scope of each service is defined in the proposal or quote accepted by the client. Prices shown on the website are indicative; the final price is confirmed in writing for each project before starting.
3. Payment
Unless otherwise agreed, services are invoiced per the accepted quote, with applicable taxes (VAT), and paid within the agreed term. Non-payment may suspend the service.
4. Timelines
Delivery times are estimates and depend on project complexity and the client's collaboration (access, information and approvals). We are not liable for delays attributable to the client or third parties.
5. Client obligations
The client will provide the necessary information and access, use the services lawfully, and is responsible for the legality of the data and content it provides.
6. Ownership of deliverables
Once the price is paid, the client obtains the right to use the deliverables (automations, agents and configurations) for its activity. Xentri retains its know-how, methodologies and reusable generic components. Third-party software is governed by its own licences.
7. Confidentiality
Both parties will keep confidential the information accessed in connection with the relationship and will not use it for purposes other than those agreed.
8. Data protection
Where Xentri processes personal data on the client's behalf, it acts as a processor under Art. 28 GDPR, with the corresponding agreement and safeguards. The client, as controller, warrants that it has a legal basis for such processing.
9. Liability
Xentri provides its services with professional diligence but does not guarantee specific business results. Its liability is limited, at most, to the amount paid for the affected service, and does not extend to indirect damages or the unavailability of third-party services.
10. Term and cancellation
Subscription services have no minimum commitment and can be cancelled with the notice indicated in the quote. Cancellation does not entitle the client to a refund of services already provided.
11. Governing law
These terms are governed by Spanish law. Any dispute shall be subject to the competent courts under applicable regulations.
